JOB SUMMARY

Corporate Supply Chain (
CSC) Counsel works under the direct supervision of CSC Senior Counsel and is responsible for drafting, reviewing, negotiating, and finalizing procurement-related contracts that support CBRE’s business objectives, with a specific concentration in technology-related matters. The Contract Manager develops negotiation strategies, conducts negotiations with vendors, evaluates risk exposure, and makes recommendations to stakeholders, CBRE Corporate Supply Chain representatives and senior executives. Corporate Supply Chain Counsel works with internal organizations such as Corporate Risk Department on insurance-related matters and Corporate Compliance to limit exposure and ensure compliance with CBRE’s internal policies, as well as compliance with applicable laws. Corporate Supply Chain Counsel must be adept at working under deadline pressures, as well as on a variety of non-technology-related transactions and other matters, including outsourcing. 


KEY AREAS OF RESPONSIBILITY

Meet with internal clients (CSC Sourcing and stakeholders) to fully understand the business objectives and initially assess the risks arising out of a proposed transaction.

Operate as CSC’s law group point of contact during negotiations on assigned matters by reviewing, editing, and drafting responses to supplier’s proposed terms and reaching successful resolution with suppliers on a timely basis.

Facilitate development of contract templates and other CSC tools/technologies.

Make recommendations to CSC Sourcing representatives, as well as stakeholders, regarding contractual risks that create legal and business exposure to CBRE, and facilitate internal review of issues, as well as coordinate management/legal resolution.

Exercise sound judgment in determining when issues require the involvement of other parts of the business, including CSC Sourcing, CBRE Data Security and CBRE Risk.

Following execution of a contract, provide contractual support for interpretation, including working with stakeholders, and other CSC team members on potential disputes and audits.

Maintain in-depth knowledge of CBRE’s supply chain procedures, processes and policies.

Demonstrate in-depth commercial contract law expertise in technology and services industries, as well as expertise in intellectual property law in the context of procuring equipment, software, and services (including, without limitation, SaaS and data subscriptions).

Develop and provide education to internal organizations regarding contracting best practices and other relevant topics.

BASIC QUALIFICATIONS

Juris Doctorate with a minimum of 5 years of in-house or private practice experience.
Law degree from an ABA-accredited law school.

Active license to practice law in one or more states within the United States.

4+ years commercial contracting experience with emphasis on procurement-related contracting involving information technology transactions (equipment, SaaS, on-prem software, data subscriptions, professional services (including development and consulting), statements of work, NDAs, etc...) and demonstrated understanding of intellectual property and data privacy/security).

Requires conceptual and innovative thinking (e.g., identifying solutions).

Ability to articulate complex ideas both legal, business and technical in nature.

Excellent interpersonal and communication skills with ability to negotiate internally and externally; strong writing skills and attention to detail.

Ability to work under short deadlines with minimal supervision.

Must present a positive and professional image internally and externally.

Ability to address and identify legal issues and escalate them as appropriate
